Terms of Service

1. Acceptance of Terms

By accessing or using LoomaScale's services, website, or any applications made available by LoomaScale (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

LoomaScale provides an AI-powered advertising platform that helps users create and manage digital advertising campaigns. The Service includes AI-generated ad creatives and images, campaign creation and management, product analysis, audience discovery, and performance optimization. You can use the Service through the LoomaScale dashboard, or by connecting it to an AI assistant that supports the Model Context Protocol — currently ChatGPT and Claude — and running your campaigns from a chat. The Service works with supported advertising platforms including Meta and Google Ads, and with Facebook, Instagram and Threads for organic publishing.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

LoomaScale offers a free plan with a limited number of assistant requests per calendar month, and paid plans that raise that limit. Paid plans require a subscription: by subscribing you agree to pay the applicable fees and comply with the billing terms described below.

4.1 Fees

Current pricing is displayed at ai.loomascale.com/pricing. All fees are exclusive of applicable taxes. We may modify fees with at least 30 days' notice. Existing subscribers will be grandfathered at their current rate for the remainder of their active billing cycle.

4.2 Billing Cycles

Subscriptions are billed in advance based on your chosen billing cycle:

• Monthly plans: billed monthly in advance
• Quarterly plans: billed every 3 months in advance
• 6-Month plans: billed every 6 months in advance
• Annual plans: billed every 12 months in advance

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the next renewal date.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to the Service until the end of your paid period. No partial refunds are provided for unused time, except as described in Section 4.5.

4.4 Payment Methods

All payments are processed securely through Creem, our authorized payment provider. You must provide accurate and complete billing information. We do not store your credit card details.

4.5 Refund Policy

We refund your first paid subscription payment in full if you ask within 14 days of that payment and have used no more than 20% of that plan's monthly task allowance; above that threshold a full refund is not available. Annual plans cancelled after the 14 days are refunded for the unused whole calendar months remaining in the term. Monthly payments are otherwise non-refundable, except for extended outages, duplicate charges and billing errors. Advertising spend billed to you directly by Google or Meta is never refundable by us. Consumers in the EU and UK keep their statutory 14-day right of withdrawal, subject to a proportionate deduction for service already supplied. 4.6 Promotional Pricing and Discounts

Any discount, promotional code, or reduced pricing applied at checkout applies only to the first billing cycle unless explicitly stated otherwise at the time of purchase. After the initial discounted period, your subscription will automatically renew at the then-current standard rate for your plan as displayed at ai.loomascale.com/pricing. By completing your purchase with a promotional discount, you acknowledge and agree to this pricing structure.

4.7 Usage Limits

Each plan includes a set number of assistant requests, or tasks, per calendar month. A task is one message you send the assistant, not one tool call it makes to answer you; current allowances are shown at ai.loomascale.com/pricing. A request counts once the Service has successfully answered it. Allowances reset at the start of each calendar month and unused requests do not carry over. When you reach your limit, the assistant stops receiving answers until the next month begins or you upgrade your plan.

5. Ad Account Access

By connecting your advertising accounts to LoomaScale, you grant us permission to access, read, and modify your campaigns, ad sets, ads, and related data through official platform APIs. This access is necessary for the Service to function. You represent that you have the authority to grant this access for any accounts you connect. You may revoke access at any time by disconnecting your accounts.

5.1 AI Assistant Connections

You may authorize an AI assistant — such as ChatGPT or Claude — to reach your LoomaScale account through the LoomaScale connector. Authorization is granted per assistant through OAuth and lets that assistant read your connected ad accounts and prepare changes to them on your behalf, within the permissions you approve. You are responsible for the instructions you give the assistant and for reviewing what it proposes: new campaigns are created paused, and changes that spend money wait for your approval. You can revoke an assistant's access at any time from your LoomaScale dashboard. What happens inside the assistant itself is governed by that provider's own terms and privacy policy.

6. AI-Generated Content

The Service uses artificial intelligence to generate ad creatives, images, and campaign content. By using the Service:

• You are granted a non-exclusive, worldwide license to use AI-generated content for your advertising campaigns
• LoomaScale retains the right to use anonymized and aggregated outputs to improve our AI models and services
• You are responsible for reviewing all AI-generated content before publishing to ensure compliance with advertising platform policies and applicable laws
• LoomaScale does not guarantee that AI-generated content will be free from errors, biases, or inaccuracies
• You may not resell, sublicense, or distribute AI-generated content as a standalone product or service

7. Data Ownership

You retain full ownership of your data, including:

• Your business information and product data
• Ad account data and campaign performance metrics
• Content and images you upload to the Service
• Campaign configurations and targeting settings

You grant LoomaScale a limited license to use your data solely for the purpose of providing and improving the Service. Upon account deletion, we will remove your data within 30 days, except where required by law.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal, fraudulent, or harmful purpose
• Create ads that promote illegal products, services, or activities
• Distribute spam, malware, or other harmful content through the Service
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Scrape, crawl, or use automated means to access the Service outside of provided APIs
• Impersonate another person or entity when using the Service
• Share your account credentials with unauthorized parties
• Resell, sublicense, or provide access to the Service to third parties
• Use the Service to generate content that infringes on third-party intellectual property rights
• Violate the terms of service of connected advertising platforms
• Generate sexually explicit, pornographic, or NSFW content
• Generate content depicting violence, hate speech, or discrimination
• Generate deepfakes, face-swaps, or misleading manipulations of real people
• Generate content that could be used to harass, bully, or threaten individuals

9. Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by LoomaScale and is protected by international copyright, trademark, and other intellectual property laws. Our name, logo, and all related marks are trademarks of LoomaScale.

10. Disclaimers

The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied. LoomaScale specifically disclaims:

• Any guarantee of specific advertising results, including return on ad spend (ROAS), cost per acquisition (CPA), or conversion rates
• Warranties that AI-generated content will meet your specific requirements or expectations
• Warranties of uninterrupted or error-free service
• Warranties regarding the accuracy or reliability of AI-generated recommendations

Advertising performance depends on many factors outside our control, including market conditions, product quality, competition, and platform algorithm changes.

11. Limitation of Liability

To the maximum extent permitted by law, LoomaScale shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, whether based in contract, tort, strict liability, or otherwise, even if LoomaScale has been advised of the possibility of such damages. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to LoomaScale in the twelve (12) months preceding the claim.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to the Service until then.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any modifications constitutes acceptance of the revised Terms. If you do not agree with the modified terms, you must stop using the Service and cancel your subscription.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation or, if necessary, binding arbitration.
